These Terms & Conditions ("Terms") govern your access to and use of the CommercialIQ service (the "Service"), provided by Invictus ("Invictus", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you are using the Service as an individual, you represent that you are of legal age.

1. The Service

CommercialIQ is a commercial real estate analysis and workflow platform. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your selected plan and these Terms.

2. Account and credentials

You must provide accurate registration information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3. Acceptable use

You must not misuse the Service, including by:

  • Using it for unlawful purposes, fraud, or spam
  • Infringing any intellectual property or other rights
  • Interfering with security, including malware, probing, or unauthorized scraping
  • Reverse engineering, reselling, or redistributing the Service
  • Circumventing technical limitations, rate limits, or plan restrictions

4. Intellectual property

Invictus retains all right, title, and interest in and to the Service, including all software, documentation, branding, and related intellectual property. You retain ownership of the content you submit ("Customer Content") and grant Invictus a limited license to host, process, and display it solely to provide the Service.

5. Payments, subscriptions, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Termsand our Refund Policy.

Subscriptions renew automatically at the end of each billing period until cancelled. You may cancel at any time through your account settings; access continues until the end of the paid period.

6. Service levels and warranties

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or that any data will be preserved indefinitely. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

7. Limitation of liability

To the fullest extent permitted by law, Invictus's aggregate liability arising out of or relating to the Service shall not exceed the fees paid by you to Paddle for the Service in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, personal injury, or any liability that cannot be excluded by law.

8. Indemnity

You will indemnify and hold Invictus harmless from claims arising out of your Customer Content, your unlawful use of the Service, or your breach of these Terms.

9. Suspension and termination

We may suspend or terminate access to the Service for:

  • Material breach of these Terms
  • Non-payment
  • Security or fraud risk
  • Repeated or serious violations of our policies

On termination, your right to use the Service ends. We will provide a reasonable window to export your Customer Content, after which it may be deleted.

10. Analytical and informational content — no advice

Information, analyses, market data, and outputs provided through the Service are for general informational and educational purposes only. They are not financial, investment, legal, tax, or professional advice, and are not a recommendation to buy, sell, or hold any asset. Investment and business decisions are your own responsibility.

11. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Invictus is established, without regard to conflict of laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless otherwise required by mandatory local law.

13. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
